Annual Service Contract for the maintenance and repair of the MiTeGen Advanced Temperature Controlled Ethane Cryostat. 1. Scope of Service: • Prioritized access to technical support and training • Annual preventative maintenance instruction/performance • Parts and Labor for repair of defective or damaged parts * All service and repair requires the equipment be returned to MiTeGen, LLC (95 Brown Road, Suite 124, Ithaca, NY) . Transportation charges are the responsibility of the customer. 2. Fees The annual service fee for this contract is $2,499.00. This fee covers all of the services listed in Section 1. 3. Term: This contract is for a period of one year. It will automatically renew for one additional year unless either party provides written notice of termination at least 30 days prior to the end of the current term. 4. Termination: This contract may be terminated by either party at any time for any reason. However, if the customer terminates the contract within the first year, they will be responsible for paying a termination fee of $499.00 5. Warranty: The service provider warrants that all work performed under this contract will be performed in a professional and timely manner. The service provider also warrants that all parts and labor used to repair the equipment will be new and of good quality. 6. Liability The service provider is not liable for any consequential or incidental damages resulting from the performance of this contract. The service provider's liability is limited to the cost of the services performed under this contract.
